Terms of Use
These Terms of Use apply to the Phi Sigma Pi websites, microsites, and mobile versions of these websites that expressly adopt and display or link to these Terms of Use (collectively the “Web Site”), and that are owned, operated, or controlled by Phi Sigma Pi (“PSP”, “we”, “us” or “our”).
The Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions and notices contained herein. Your use of the PSP Web Site constitutes your agreement to all such terms, conditions and notices.
PLEASE READ THESE TERMS OF USE CAREFULLY. THESE TERMS OF USE CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND PSP. BY USING THESE WEB SITES, YOU UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS OF USE, INCLUDING ALL EXCLUSIONS AND LIMITATIONS OF LIABILITY HEREIN, AND WARRANT THAT YOU HAVE FULL AUTHORITY AND CAPACITY, LEGAL AND OTHERWISE, TO USE THE WEB SITE. YOU MAY NOT ACCESS OR USE THE WEB SITE IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS OF USE.
MODIFICATION OF THESE TERMS OF USE
PSP reserves the right to change the terms, conditions and notices under which the PSP Web Site is offered, including but not limited to the charges associated with the use of the PSP Web Site.
CONTENT
All content on our Web Site, including, without limitation, all text, graphics, audio, video, music, icons, images, hyperlinks, advertising copy, displays, products, HTML code and scripts (collectively, the “Web Site Content”), and the collection, arrangement and assembly of the Web Site Content, is the property of PSP and its sponsors, distributors, or licensors, and is protected by copyright law and other U.S. and international laws and treaties. You are granted no right, title or interest in or to the Web Site Content other than the limited license expressly set forth in these Terms of Use. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, incorporate into a website or in any way exploit the Web Site Content, or any portion thereof, without the express written permission of PSP.
Subject to these Terms of Use, you are hereby granted a non-exclusive, non-transferable, limited, revocable license to access and use the Web Site and the Web Site Content for your own internal purposes. All rights not expressly granted are reserved by PSP and its licensors. This limited license may be revoked at any time for any reason or no reason.
ELIGIBILITY
You represent and warrant that (i) you are at least 18 years of age and are fully competent and able to enter into these Terms of Use and to abide by the terms hereof (or, if under the age of 18, you represent that you have your parent or guardian’s permission to use the Web Site); (ii) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist support” country; and (iii) you are not included on any U.S. Government list of prohibited or restricted parties. PSP provides the Web Site for use in the United States of America. PSP does not represent the Web Site is available or appropriate for use in other jurisdictions. Any access to or use of the Web Site from other jurisdictions is at your sole risk and you are responsible for complying with all applicable local laws.
LINKS TO THIRD PARTY SITES
The PSP Web Site may contain links to other websites (“Linked Sites“). The Linked Sites are not under the control of PSP and PSP is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. PSP is not responsible for webcasting or any other form of transmission received from any Linked Site. PSP is providing these links to you only as a convenience and the inclusion of any link does not imply endorsement by PSP of the site or any association with its operators.
NO UNLAWFUL OR PROHIBITED USE
As a condition of your use of the PSP Web Site, you warrant to PSP that you will not use the PSP Web Site or Web Site Content for any purpose that is unlawful or prohibited by these terms, conditions and notices. You may not use the PSP Web Site in any manner which could damage, disable, overburden or impair the PSP Web Site or interfere with any other party’s use and enjoyment of the PSP Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the PSP Web Sites.
Your permitted use of the Web Site and Web Site Content is limited to the standard functionality of the Web Site. In no event may the Web Site be used in a manner that (i) is unlawful, fraudulent or deceptive, (ii) harasses, abuses, stalks, threatens, defames, or otherwise infringes or violates the rights of any third party (including, without limitation, the rights of publicity or other proprietary rights), (iii) uses technology or other means not authorized by PSP to access Web Site Content, (iv) attempts to introduce viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment, (v) attempts to gain unauthorized access our systems or user accounts, (vi) encourages conduct that would constitute a criminal offense or that gives rise to civil liability, (vii) attempts to damage, disable or overburden our servers or networks, or (viii) fails to comply with applicable third-party terms. You must comply with all applicable third-party terms (e.g., wireless carrier terms of service) at all times while using the Web Site. PSP reserves the right, in its sole discretion, to terminate the license granted to you hereunder and/or bring legal action against you if you engage in, or PSP reasonably believes you have engaged in or are engaging in, use that violates these Terms of Use. Our failure or delay in taking such actions does not constitute a waiver of its rights to enforce these Terms of Use.
USE OF COMMUNICATION SERVICES
The PSP Web Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Services“), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:
- Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
- Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.
- Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
- Upload files that contain viruses, corrupted files or any other similar software or programs that may damage the operation of another’s computer.
- Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.
- Conduct or forward surveys, contests, pyramid schemes or chain letters.
- Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
- Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
- Restrict or inhibit any other user from using and enjoying the Communication Services.
- Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
- Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
- Violate any applicable laws or regulations.
PSP has no obligation to monitor the Communication Services. However, PSP reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. PSP reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
PSP reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in PSP’s sole discretion. Any information posted through the Communication Services will be handled by PSP in accordance with its Privacy Policy.
Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. PSP does not control or endorse the content, messages or information found in any Communication Service and, therefore, PSP specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized PSP spokespersons, and their views do not necessarily reflect those of PSP.
Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.
You understand and agree that PSP does not control and is not responsible for any content made available on the Web Site by other users. Your use of, or reliance on, any information contained in such third-party content is at the your sole risk. Under no circumstances will PSP be liable for any such third-party content or for any loss or damage resulting from your use of, or reliance on, such third-party content.
MATERIALS PROVIDED TO PSP OR POSTED AT ANY PSP WEB SITE
PSP does not claim ownership of the materials you provide to PSP (including feedback and suggestions) or post, upload, input or submit to any PSP Web Site or its associated services, including any information, photographs, videos, documents, or other content (collectively “Submissions“). However, by posting, uploading, inputting, providing or submitting your Submission you are granting PSP, its affiliated companies and necessary sublicensees a non-exclusive, royalty-free, transferable, worldwide right and license to use, reproduce, modify, adapt, publish, translate, transmit, distribute and display your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission. You also grant to the other users of the Web Site and related PSP platforms a non-exclusive license to access the Submissions via the Web Site and related PSP platforms, and to use, reproduce, distribute and display such Submissions as permitted through the functionality thereof and subject to these Terms of Use.
No compensation will be paid with respect to the use of your Submission, as provided herein. PSP is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in PSP’s sole discretion.
By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.
You shall be solely responsible for your Submissions and the consequences of submitting and publishing your Submissions You agree not to submit, upload, or otherwise make available any Submissions (i) that is sensitive or confidential in nature; (ii) that is unlawful, threatening, abusive, harassing, defamatory, libelous, obscene, vulgar, profane, injurious to third parties, or which invade another person’s privacy, further the commission or concealment of a crime, or are otherwise objectionable; (iii) that infringes the copyright or other intellectual property rights of a third party; or (iv) with respect to which you do not have the rights necessary to transmit and publish such content or materials, or to grant PSP the license to use such content or materials as described herein.
LIABILITY DISCLAIMER
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE PSP WEB SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. PSP AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE PSP WEB SITE AT ANY TIME. ADVICE RECEIVED VIA THE PSP WEB SITE SHOULD NOT BE RELIED UPON FOR PERSONAL, MEDICAL, LEGAL OR FINANCIAL DECISIONS AND YOU SHOULD CONSULT AN APPROPRIATE PROFESSIONAL FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION.
PSP AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE PSP WEB SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. PSP AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PSP AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE PSP WEB SITE, WITH THE DELAY OR INABILITY TO USE THE PSP WEB SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE PSP WEB SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE PSP WEB SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF PSP OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. INDEMNITY
You will indemnify, defend and hold harmless PSP and its employees, contractors, officers, directors, and licensors from and against all claims, suits, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) that arise from: (i) your use or misuse of the Web Site; (ii) your violation of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property or privacy right; or (iv) any claim that your Submissions resulted in damage to a third party. PSP reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with PSP in asserting any available defenses.
TERMINATION/ACCESS RESTRICTION
PSP reserves the right, in its sole discretion, to terminate your access to the PSP Web Site and the related services or any portion thereof at any time, without notice.
GENERAL
To the maximum extent permitted by law, these Terms of Use are governed by the laws of the State of Pennsylvania, U.S.A., and you hereby consent to the exclusive jurisdiction and venue of courts in Lancaster County, Pennsylvania, U.S.A. in all disputes arising out of or relating to the use of the PSP Web Site. Use of the PSP Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment or agency relationship exists between you and PSP as a result of these Terms of Use or use of the PSP Web Site. PSP’s performance of these Terms of Use is subject to existing laws and legal process, and nothing contained in these Terms of Use is in derogation of PSP’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the PSP Web Site or information provided to or gathered by PSP with respect to such use. If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Use shall continue in effect. Unless otherwise specified herein, these Terms of Use constitute the entire agreement between you and PSP with respect to the PSP Web Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and PSP with respect to the PSP Web Site. A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that these Terms of Use and all related documents be drawn up in English.

The Marks, and all associated logos or images, are registered and/or common law trademarks, and are protected by U.S. and international laws and treaties. No license with respect to the use of the Marks is granted to you under these Terms of Use or by virtue of your use of the Web Site. The Marks may not be copied, imitated or used, in whole or in part, without the prior written consent of PSP or the applicable rights holder.
The names of actual companies and products mentioned herein may be the trademarks of their respective owners.
Any rights not expressly granted herein are reserved.
NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT
Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement under United States copyright law should be sent to Service Provider’s Designated Agent. ALL INQUIRIES NOT RELEVANT TO THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE. See Notice and Procedure for Making Claims of Copyright Infringement.
SUPPORT OR MAINTENANCE
Although we may choose to provide support or maintenance for the Web Site, you acknowledge and agree that we are under no obligation to do so.
RESTRICTED ACCESS
Some parts of the Web Site may be restricted to certain users. If you have permission to access restricted parts of the Web Site, you agree to not share your access information and password with third parties. We may change the restricted parts of the Web Site from time to time. If you do not have access to restricted parts of the Web Site, you agree not to use another user’s account to gain such access or otherwise attempt to gain improper access to the restricted parts of the Web Site.
